1. Services and fee

By confirming acceptance of these terms and conditions, the Client (“the Client”) engages Edgecumbe Consulting Group Ltd. of 23 Berkeley Square, Clifton, Bristol BS8 1HP (“ECG”) to provide Doctor 360º product and agrees to pay the fee confirmed for the Services (“the Services”) plus VAT. The fees constitute commercially sensitive information and must be held by the Client subject to a duty of confidence. ECG require the Client to hold all this information confidential for a period of 2 years from the date of the commencement of the Services to be performed.

2. Content

ECG accepts no responsibility for any consequences of any of the content added by the Client and the Client’s colleagues/patients. You agree not to publish or transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, or racially or ethnically derogatory content, or any content expressing hate toward any person or group of persons due to age, race, religion, color, creed, national origin or sexual orientation. You agree to indemnify, defend, and hold ECG harmless from and against all actions brought by a third party as a result of the publication or transmission of such material or information as described above or as a result of your use in any way of the services provided by ECG.

3. Expenses and VAT

VAT is chargeable at standard rate on all fees, expenses and materials.

4. Terms of Payment

ECG will invoice the Client at the beginning of the process. As soon as payment is processed we will facilitate access to the website.

5. Intellectual Property Rights

Except for material developed expressly for the Client, Intellectual Property Rights shall remain the property of the party creating or owning the same. Any property that is the property of one party, cannot be used or copied without written permission from the other party. Nothing in this contract shall be deemed to restrict the rights of either party to own, use, enjoy, license, assign or transfer its own Intellectual Property Rights.

Any data gathered from questionnaires may be used by ECG for research purposes – such data will only be used anonymously.

6. Copyright

Any materials or software cannot be used or copied without written permission from ECG.

7. Data Protection

Your data will be held and/or transferred in strict accordance with the applicable data protection laws and ECG data protection registration and you consent to this. ECG would normally use your contact details to send you updates and news of our services. You may, of course, advise us if you do not wish us to do so.

8. Use of data

Any data gathered from Multi Source Feedback questionnaires may be used for research purposes – any data will only be used anonymously.

9. Product changes

We reserve the right to make amendments to the question set, during the period of this contract, as and when required, to ensure that the survey remains fit for purpose, meeting the requirements of the regulatory bodies governing the appraisal and revalidation system.

10. Limit of liability

ECG’s entire liability and that of its employees and consultants and the Customer's sole remedies in respect of any claim under this contract or otherwise shall be limited to damages which, save as otherwise provided, shall be limited to the value of any appropriate fee stated in the proposal.

11. Confidentiality

ECG follows the Code of Conduct of the Market Research Society.

ECG confirms that all information gained in the course of carrying out this assignment will remain completely confidential. ECG will allow, on written request from the client, access to our working papers relating to the assignment for a period of 2 years from the completion of the assignment. ECG may only use the data produced during the assignment in an aggregated, anonymous way.

These Terms and Conditions of Use shall be governed by and construed in accordance with the laws of England and Wales and any disputes arising shall be subject to the exclusive jurisdiction of the English courts.
